In BetterCall, the services can be provided via voice and/or video calls. The service provider determines the price of the service on a minute base.

Each 0 to 60 seconds is equal to a 1 minute. Such as 75 seconds service makes 2 minutes.

Calls between the Minimum and Maximum Service Duration: Calculation:
- The total service duration in minutes multiplied by the per-minute charge.

Payment Collection!

Important Notes:

- The Service Fee cannot exceed the pre-authorized amount. Therefore, the service must be completed within the allotted Maximum Service Duration time frame.

- The system does not terminate the call automatically at the end of Maximum Service Duration. Monitoring the session duration and ending it on time is entirely the responsibility of the Service Provider. Any duration exceeding the maximum time limit will not be billed and no additional fees can be claimed.

- If the service does not take place, the pre-authorization will be released, and no charges will be applied.

BETTERCALL TECHNOLOGIES INC. – SERVICE PROVIDER COMMERCIAL TERMS

1. Invoicing, Settlement Reconciliation, and Self-Billing Acknowledgement

   1. Invoicing Requirement: The Service Provider (Expert) acknowledges and agrees that for every service rendered on the platform, BetterCall Technologies Inc. shall issue a transaction statement/debit note detailing the gross amount earned, the deductions made, and the net payout.

   2. Service Provider Invoicing Requirement: To ensure full compliance with international accounting standards and corporate tax regulations, the Service Provider shall issue an invoice to BetterCall Technologies Inc. for the exact Net Payout amount reflected in the settlement statement provided by BetterCall. The Service Provider expressly authorizes BetterCall Technologies Inc. to generate self-billed invoices, settlement statements, payout records, and other accounting documents on behalf of the Service Provider where permitted by applicable law.

   3. Settlement Statement Definition: For purposes of these Terms, "Settlement Statement" means the transaction record issued by BetterCall Technologies Inc. showing the Gross Customer Charge, applicable taxes, platform commission, processing fees, deductions, and resulting Net Payout.





2. Currency of Transactions, Processing, and Payout Conversion

   1. Presentment, Settlement, and Platform Currency: All services on the BetterCall platform are priced and displayed to users in United States Dollars (USD) ("Presentment Currency"). The Service Provider acknowledges and agrees that all transactions are captured, processed, and credited to the Service Provider's Stripe Connect balance in USD ("Settlement Currency"). The official balance maintained within the BetterCall system and the Stripe dashboard for the Service Provider will be held strictly in USD until the point of payout.

   2. Payout Accounts and Currency Election: Service Providers may designate a bank account for receiving payouts ("Payout Account") through the Stripe Connect onboarding process. The Service Provider acknowledges and agrees that the Payout Account must be held at a financial institution located within a country supported by Stripe and compliant with Stripe's account requirements.

   3. Currency Conversion and Foreign Exchange (FX) Fees:

   • USD Payout Accounts: If the Service Provider designates a Payout Account denominated in USD, payouts will be transferred in USD without currency conversion fees by BetterCall Technologies Inc., subject to any standard processing fees.
   • Non-USD Payout Accounts: If the Service Provider designates a Payout Account denominated in any currency other than USD (including, but not limited to, CAD, EUR, or GBP), the funds will be automatically converted from USD to the local currency of the designated Payout Account at the time of the payout transfer.
   • Assumption of Costs: Any and all foreign exchange (FX) conversion rates, processing margins, and related currency transformation fees applied by Stripe or the receiving financial institution shall be borne solely and exclusively by the Service Provider. BetterCall Technologies Inc. shall not be responsible for any losses, fluctuations, or deductions resulting from currency conversion.

   4. Third-Party Terms: All payouts are processed via Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service.





3. Fees, Commissions, and Call Policies

   1. Call Termination Policy (The 10-Second Rule): To ensure a fair user experience, any video or audio call that is terminated within the first ten (10) seconds of its commencement shall be considered non-billable. No service fees shall be generated for the Service Provider, and no charges shall be applied to the client for calls ending within this initial 10-second window.

   2. Platform Commission and Processing Fees (BetterCall Commission): For every successfully completed call or consultation that exceeds the initial 10-second threshold, BetterCall Technologies Inc. shall deduct a commission and processing fee prior to distributing the funds to the Service Provider's account. The deduction shall be calculated as follows:

   • Platform Commission Rate: Twenty percent (20%) of the total amount charged to the Client for the call.
   • Fixed Transaction Fee: A flat fee of One United States Dollar ($1.00 USD) per successfully completed transaction.




4. All-Inclusive Per-Minute Rates and Payout Distribution

   1. Display of Per-Minute Pricing and Automatic Deductions: The Service Provider acknowledges and agrees that the per-minute pricing displayed to clients on the BetterCall platform represents the final, all-inclusive gross rate per minute ("Final Rate"). The Final Rate displayed to clients represents the total amount payable by the client for the session before any deductions applied to the Service Provider's earnings.

   2. Net Distribution & Tax Handling: The Service Provider expressly understands, agrees, and accepts that the total gross amount for each transaction will be calculated based on this Final Rate multiplied by the actual duration of the call (subject to the Call Termination Policy). To eliminate financial ambiguity for the Service Provider, BetterCall Technologies Inc. shall deduct a flat twenty percent (20%) commission plus a fixed transaction fee of One United States Dollar ($1.00 USD) from the total gross amount prior to any payout. The Service Provider shall receive the net amount remaining after these fixed deductions, and BetterCall Technologies Inc. shall be solely responsible for determining, collecting, remitting, and reporting any applicable indirect taxes charged to the Client.

   For the avoidance of doubt, the Platform Commission and Fixed Transaction Fee shall be calculated based on the total amount charged to the Client, including any applicable sales taxes, VAT, GST, HST, or similar indirect taxes.

   3. Tax Remittance: BetterCall Technologies Inc. shall determine, collect, remit, and report any applicable sales taxes, VAT, GST, HST, or similar indirect taxes based on the Service Recipient's jurisdiction.





5. Modification of Commercial Terms

   1. Right to Modify: BetterCall Technologies Inc. reserves the right, at its sole discretion, to modify, update, or change any of the commercial terms, commission rates, fees, or deduction structures outlined herein at any time. BetterCall Technologies Inc. shall provide advance notice of any material changes to the Service Provider via email or through a prominent notification within the Platform dashboard.

   2. Provider Responsibility & Binding Acceptance: It is the sole responsibility of the Service Provider to regularly review these terms and check for updates. Continued use of the BetterCall platform or performance of services following the effective date of any posted modifications shall constitute the Service Provider's express and binding acceptance of the revised commercial terms. Any transactions completed after the notification period shall be subject to the newly established rates and conditions.





6. Disputed Payments (Chargebacks / Disputes) and Financial Liability

   1. Withholding and Deductions: In the event that a Service Recipient (Client) initiates a payment dispute, chargeback, or reversal with their issuing bank or the payment processor (e.g., Stripe) regarding any services rendered, BetterCall Technologies Inc. reserves the right, at its sole discretion and without prior notice, to withhold, place a temporary hold (freeze) on, or deduct the full amount of the disputed transaction, along with any associated administrative dispute fees or penalties imposed by the payment processor, directly from the Service Provider's (Expert's) current or future payout balances.

   2. Right of Lien and Ultimate Liability: BetterCall Technologies Inc. shall maintain a right of lien and retention over the contested funds within the Service Provider's account until the dispute resolution process is fully finalized by the relevant banking institution. If the dispute is resolved in favor of the Client and the funds are permanently reversed, the withheld or frozen amount shall be permanently deducted by BetterCall Technologies Inc. The Service Provider acknowledges, represents, and warrants that they bear full and ultimate financial liability for any such losses resulting from services that are claimed to be defective, incomplete, or unrendered.





7. General Terms and Conditions Compliance

   1. Adherence to Platform Terms and Policies: The Service Provider acknowledges, represents, and agrees that their participation, registration, and performance of services on the platform are strictly subject to and governed by the general BetterCall Technologies Inc. Terms & Conditions, Privacy Policy, Refund & Dispute Policy, Prohibited Services Policy, and Cookie Policy, all of which are publicly available on the BetterCall platform and incorporated herein by reference.

   2. Precedence and Interpretation: These commercial terms are designed to complement the platform's general policies. In the event of any conflict or ambiguity between this Service Provider Agreement and the general Platform Policies, the terms that impose a higher standard of compliance, security, or financial liability upon the Service Provider, or those that best protect BetterCall Technologies Inc., shall prevail.

   3. Material Breach: Any breach, violation, or non-compliance with the platform's general terms, the Prohibited Services Policy, or any other platform policy shall automatically constitute a material breach of this Service Provider Agreement and may result in immediate suspension, restriction, or permanent termination of the Service Provider's account and withholding of pending payouts.





8. Refund and Commission Waiver Policy

   1. Voluntary Refunds: In the event that a Service Provider or BetterCall Technologies Inc. determines that a client (Service Recipient) is entitled to a refund for a session, the full gross amount of the transaction shall be reversed and returned to the client.

   2. Platform Commission Waiver: To ensure a fair resolution, BetterCall Technologies Inc. hereby agrees to waive its entitlement to its twenty percent (20%) platform commission and the $1.00 USD fixed fee for that specific refunded transaction. The Service Provider expressly understands that the entire refunded amount will be deducted directly from their current or future Stripe Connect balance to facilitate the return of funds to the client.





9. Confidentiality and Data Privacy (NDA)

   1. Protection of Information: The Service Provider agrees to maintain strict confidentiality regarding all information, business strategies, technical data, proprietary materials, and personal details shared by the client during video or audio consultations.

   2. Prohibition of Recording: The Service Provider is strictly prohibited from recording, capturing, screenshotting, or distributing any session, or parts of a session, without the express, prior written consent of both the client and BetterCall Technologies Inc. Unauthorized distribution of client data will result in immediate termination of account access and potential legal liability.





10. Technical Outages and Limitation of Liability (Disclaimer)

    1. No Liability for Technical Failures: BetterCall Technologies Inc. relies on third-party infrastructure, internet service providers, and cloud networks (including Microsoft Azure) to deliver its services. The Platform shall not be held liable or financially responsible for unexpected system outages, internet disconnections, hardware failures, or third-party server disruptions that interrupt a scheduled session.

    2. Interrupted Sessions: If a call or consultation is prematurely cut off or fails to commence due to technical disruptions beyond the control of the parties, no service fees shall be generated for the Service Provider, and no charges shall be applied to the client. BetterCall Technologies Inc. does not guarantee uninterrupted or error-free platform access.





11. Modifications to Terms

    We reserve the right to update these Terms at any time.

    Continued use of the platform after changes constitutes acceptance of the revised Terms.
